Dangote Petroleum Refinery Lands $1 Billion Support Ahead of IPO

In a landmark move that underscores Africa’s growing industrial and capital markets potential, the Dangote Petroleum Refinery & Petrochemicals has successfully completed a $1 billion underwriting program, marking a significant milestone ahead of its highly anticipated IPO.

Structured by Marob Strategies and Consulting DIFC Limited alongside Lilium Capital Group, the program features a fully funded $600 million private placement and a $400 million underwriting commitment to support the refinery’s public listing. The private placement was underwritten and funded by Pan-African Refinery Investment SPV, a subsidiary of Lilium Capital Group. Currently, Marob Strategies and Lilium Capital are actively distributing the underwriting participation across Global Africa, engaging sovereign wealth funds, governments, institutional investors, and other key stakeholders.

The response from the market has been robust, reflecting a surging institutional appetite for large-scale African assets with long-term economic value. This initiative is expected to catalyze intra-African capital flows and foster a more integrated African capital market under the African Continental Free Trade Area (“AfCFTA”).

More than just capital raising, this $1 billion program aims to deepen Africa’s capital markets, broaden ownership of a strategic enterprise, and demonstrate the capacity of African institutions to mobilize long-term funds for industrialization, energy security, and trade development.

Alhaji Aliko Dangote, President and CEO of Dangote Industries Limited, emphasized the significance of this milestone, stating, “This is an important milestone for DPRP and for African capital markets. The transaction reflects confidence in the refinery’s strategic role and creates a platform for broader participation by African and Caribbean sovereign wealth funds, governments, and institutional investors across Global Africa.”

Professor Benedict Okey Oramah, Chairman of Marob Strategies, highlighted the transaction’s role in showcasing Africa’s capital markets’ potential. “The level of interest confirms the appetite for African-led capital markets transactions that provide access to transformative assets on the continent. This success paves the way for many more such transactions in the future,” he said.

Simon Tiemtoré, Chairman of Lilium Capital Group, echoed this sentiment, underscoring the firm’s commitment to connecting Africa’s biggest opportunities with global institutional investors. “By mobilising long-term capital for strategic assets such as the Dangote Petroleum Refinery, we are supporting industrialization, strengthening capital markets, and contributing to sustainable economic growth across Africa,” Tiemtoré stated.
